Terms of Service

Welcome to QAK Build, operated by Qak Contracting Ltd. These Terms of Service govern your access to and use of our website at www.qakbuild.lat and all computer systems design, computer integrated systems design, and related professional, scientific, and technical services we provide. By accessing or using our website or services, you agree to be bound by these terms. If you do not agree, you must not use our website or services. These terms constitute a legally binding agreement between you and Qak Contracting Ltd.

1. Definitions

Throughout these Terms of Service, the following definitions apply: QAK Build refers to the service brand of Qak Contracting Ltd., a company registered in Ontario, Canada. The Website refers to www.qakbuild.lat and all associated subdomains. Services refers to all computer systems design, computer integrated systems design, digital transformation, technology architecture, software integration, network design, cybersecurity, cloud computing, and related professional, scientific, and technical services offered by QAK Build. Client or You refers to the individual or legal entity using our website or services. Content means all text, graphics, software, data, and materials on our website or delivered through our services.

2. Acceptance of Terms

By accessing our website, submitting a service inquiry, engaging our services, or otherwise using our platform, you acknowledge reading, understanding, and agreeing to these Terms of Service. If using our services on behalf of an organization, you represent having the authority to bind that organization. We may modify these terms at any time, with changes effective upon posting. Continued use after modifications indicates acceptance. We encourage periodic review of these terms.

3. Description of Services

QAK Build provides comprehensive computer systems design and related services within the Professional, Scientific, and Technical Services sector. Our service offerings include computer integrated systems design and architecture, enterprise software development and systems integration, cloud infrastructure planning and migration, network architecture and optimization, cybersecurity risk assessments and compliance, data analytics and business intelligence, digital transformation strategy, IT project management, performance optimization, and ongoing technical support.

Specific scope, deliverables, timelines, and fees for each engagement are documented in a separate Statement of Work or Service Agreement. These Terms govern all engagements unless expressly superseded by a written agreement. In case of conflict, the signed Service Agreement prevails.

4. Client Obligations

You agree to provide accurate and complete information during onboarding and service delivery; cooperate reasonably by providing necessary access to systems, data, personnel, and facilities; designate an authorized point of contact; comply with applicable laws; maintain confidentiality of access credentials; notify us promptly of security incidents; and refrain from using our services for unlawful purposes.

5. Intellectual Property

Our pre-existing methodologies, frameworks, tools, libraries, and proprietary materials remain our property. Custom work products specifically created for you under a paid engagement, including software code, documentation, designs, and configuration files, are owned by you upon full payment, subject to third-party license restrictions. We retain a non-exclusive license to use general methodologies and know-how gained during the engagement, provided no confidential information is disclosed.

6. Fees and Payment

Fees are set forth in the applicable Service Agreement. Unless otherwise specified, all fees are payable in Canadian dollars. Invoices are due within thirty days. Late payments may incur interest at one and one-half percent per month. We may suspend services if payment is not received within sixty days. All fees exclude taxes, which are your responsibility.

7. Confidentiality

Both parties agree to protect confidential information disclosed during the engagement, including business plans, technical data, source code, trade secrets, financial information, client lists, and security assessments. Each party uses the same degree of care as for its own confidential information. Confidential information is used only for the engagement purpose and disclosed only to personnel with a need to know. This obligation survives termination for three years, indefinitely for trade secrets.

8. Limitation of Liability

To the maximum extent permitted by law, Qak Contracting Ltd. shall not be liable for indirect, incidental, special, consequential, or punitive damages including lost profits, revenue, data, or business interruption. Our total aggregate liability shall not exceed the amount paid by you in the twelve months preceding the claim, regardless of the theory of liability.

9. Disclaimer of Warranties

Services are provided on an as is and as available basis. We warrant professional performance consistent with industry standards but make no other warranties, express or implied, including merchantability or fitness for a particular purpose. We do not warrant uninterrupted or error-free service. We are not liable for delays or failures beyond our reasonable control including acts of God, war, terrorism, labor disputes, government actions, or third-party service failures.

10. Indemnification

You agree to indemnify and hold harmless Qak Contracting Ltd., its officers, directors, employees, and agents from claims arising from your breach of these terms, misuse of services, violation of law, or content you provide. We may assume defense of any matter subject to indemnification at your expense.

11. Termination

Either party may terminate a Service Agreement per its provisions, or with thirty days written notice if no specific provisions exist. We may immediately terminate for material breach uncured within ten days, violation of law, or fraudulent conduct. Upon termination, you must pay all fees through the effective date. Survival provisions remain in effect.

12. Governing Law

These terms are governed by the laws of the Province of Ontario and federal laws of Canada, without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of courts located in Toronto, Ontario.

13. General Provisions

These terms constitute the entire agreement. If any provision is unenforceable, the remainder remains in effect. Our failure to enforce a provision does not waive our rights. You may not assign these terms without our written consent. We may assign in connection with a merger or acquisition.
